Project Overview

Development of a secure, analytics-driven web application for the NeuroSense360 Brain Health Platform — a part of Limitless Brain Wellness (LBW-Neuro) initiative.

The MVP will serve three user roles: Super Admin, Clinic Admin, and Patient Portal. The platform will include clinical dashboards, EEG data management, qEEG Pro reports, NeuroSense algorithms, and Stripe-integrated monetization.

Scope of Work

A. Landing Page

• Informational content (videos, guides, articles on brain health)
• Clinic locator with enquiry form (auto-detect location)
• Paid brain scan purchase prompt linking to care plan page

B. Super Admin Dashboard

• Multi-clinic control, agreements, and co-branding
• Revenue analytics and report tracking

• Create/edit/deactivate clinic accounts
• Upload EEG report PDF files per patient (manual upload)
• View report usage stats per clinic
• Grant/restrict trial access and monitor subscriptions

C. Clinic Admin Dashboard

• Secure clinic login and authentication
• Patient profile creation and management (name, age, gender, notes)
• Upload and tracking of EEG (.edf) files (view-only)
• View/download patient reports (PDF)
• Track number of reports used
• Clinic-specific analytics and restricted access
• Automated trial/usage alerts

D. Patient Portal

• Personal dashboard with history, care plans, and downloads
• NeuroSense reports and progress tracking
• Access to educational content and follow-up reminders

E. Algorithm Integration Layer

• NeuroSense Equations for parameters: Cognition, Focus, Stress, Burnout, Creativity, Emotional Regulation, Learning
• Scoring system with color-coded visual meters (Red-Yellow-Green)
• Integration of 2 proprietary algorithms into report generation workflow

F. Payments & Monetization

• Stripe integration for "per 10 reports" clinic bundle purchases
• Usage analytics, alerts, and automated report unlocks
• Unlock new report units on successful Stripe payment

Assumptions & Exclusions

Client Responsibilities

• Provide AWS account access for S3 setup
• Provide Stripe API credentials and merchant account setup
• Supply Privacy Policy and Terms & Conditions documents
• Provide NeuroSense algorithm specifications and parameters
• Review and approve designs within 24 hours of submission
• Provide test data (anonymized EEG files) for integration testing
• Participate in weekly sprint review meetings

Payment & Banking Details

Payment Terms

Payment Terms: 40% advance upon order confirmation, 60% upon project completion and delivery.

Payment must be made via bank transfer to the account details provided. All payments must include the invoice reference number in the payment description.

For international transfers, ensure all bank charges are covered by sender (OUR charge option). Payment confirmation receipt must be emailed to bt.thomas@bettroi.com within 24 hours of transfer.

Late payments will incur a charge of 2% per month (24% per annum). Work may be suspended on accounts overdue by more than 15 days.

Late Payment Policy

Overdue invoices will incur a late payment charge of 2% per month (24% per annum). Work may be suspended on accounts overdue by more than 15 days. All project deliverables and source code will be released only upon full payment clearance.

Compliance & Legal Information

Anti-Money Laundering (AML) Compliance

This commercial transaction is conducted in accordance with UAE Federal Decree-Law No. 20 of 2018 on Anti-Money Laundering and Combating the Financing of Terrorism and Illegal Organizations, as amended by Federal Decree-Law No. 26 of 2021.

Customer Due Diligence (CDD)

For transactions exceeding AED 55,000, Bettroi FZE is required to conduct Customer Due Diligence as per Cabinet Decision No. 10 of 2019. Client agrees to provide the following documents upon request:

• Valid Trade License certificate
• Tax Registration Number (TRN) certificate
• Emirates ID of authorized signatory
• Company bank account statement (last 3 months)
• Memorandum of Association or equivalent
• Beneficial ownership declaration form

Enhanced Due Diligence (EDD)

Transactions exceeding AED 100,000 require Enhanced Due Diligence. Additional documentation and verification procedures will be initiated as per UAE Central Bank regulations.

Document Retention & Data Privacy

All transaction records, proposals, invoices, and supporting documents will be securely stored for a minimum period of 5 years from the transaction date as required by UAE AML regulations. Data is stored on secure servers within the UAE and handled in accordance with UAE Data Protection Law (Federal Decree-Law No. 45 of 2021).

Tax Compliance

This TAX INVOICE / QUOTATION complies with UAE VAT regulations as per Federal Decree-Law No. 8 of 2017 on Value Added Tax and Cabinet Decision No. 52 of 2017 on the Executive Regulations of VAT.

Warranty & Liability

Warranty Period: 3 months from deployment date for software bugs and backend API issues.

Scope: Warranty covers defects in workmanship and functionality as per agreed specifications. Does not cover changes to requirements, third-party service failures, or issues arising from client-side modifications.

Support: Email support during UAE business hours (9 AM - 6 PM, Sunday-Thursday). Critical issues addressed within 24 hours, non-critical within 72 hours.

Intellectual Property

• Source code ownership transfers to client upon full payment clearance
• Bettroi retains the right to use non-proprietary components in future projects
• Client proprietary algorithms remain exclusive property of client
• Bettroi may use project as portfolio reference with client approval

Governing Law & Jurisdiction

This agreement shall be governed by the laws of the United Arab Emirates. Any disputes shall be subject to the exclusive jurisdiction of the courts of Dubai.

Terms & Conditions

1. Quotation Validity

This quotation is valid for 30 days from the date of issue (20 November 2025 to 20 December 2025).

2. Project Timeline

• Total development time: 6-8 weeks from project kickoff
• Timeline commences upon receipt of 40% advance payment and all client requirements
• Delays due to client approvals, feedback, or resource availability will extend timeline accordingly
• Force majeure events (natural disasters, government actions, etc.) may impact delivery dates

• Scope changes after project commencement will be evaluated separately
• Change requests requiring >8 hours effort will incur additional charges
• Rate for change requests: $75/hour + 5% VAT
• Timeline extensions may apply for significant scope changes

5. Testing & Acceptance

• User Acceptance Testing (UAT) period: 5 business days
• Client to provide feedback within UAT period
• Minor bugs identified during UAT will be fixed at no additional cost
• Major functionality changes require change request process

6. Hosting & Infrastructure

• Development hosting on Vercel included in project cost
• Production hosting on client's AWS account (client bears AWS costs)
• Monthly hosting estimate: $75-100/month (Supabase + AWS S3)
• SSL certificates, CI/CD setup, and initial configuration included
• Ongoing server management available through AMC

7. Post-Deployment Support

• Warranty Period: 3 months from deployment date
• Coverage: Bug fixes, API issues, functionality defects
• Exclusions: New features, UI changes, third-party service issues
• Response Time: Critical issues - 24 hours, Non-critical - 72 hours

8. Annual Maintenance Contract (AMC) - Optional

• Cost: $750/year (includes 5% VAT)
• Includes: Bug fixes, security patches, Stripe support, server monitoring
• Monthly server audit: Logs review, performance tuning, cost optimization
• Backup maintenance: Automated S3 backup routines
• Priority support: 12-hour response time for AMC clients

9. Confidentiality

• Both parties agree to maintain confidentiality of proprietary information
• Bettroi will not disclose client algorithms, business logic, or patient data
• Non-disclosure agreement available upon request
• Confidentiality obligations survive contract termination

10. Cancellation Policy

• Client may cancel project with written notice
• Cancellation before work commencement: 10% deduction on advance
• Cancellation after commencement: Charges apply for work completed + 20% of remaining balance
• All completed deliverables and source code released upon settlement
